Glowming Business Affiliate application

1. Clause 1 of 15ROLE

   I understand that as a Glowming Business Affiliate (GBA), my business is appointed to promote and sell Glowming products directly to its clients, and that this agreement will auto-renew on a year-to-year basis unless terminated by either party.

2. Clause 2 of 15DUTIES

   I agree to professionally market and promote Glowming products through approved channels only, using Glowming-approved marketing materials, and to respect the Recommended Retail Price (RRP). The official RRP is published on the Glowming SA website (www.glowming.co.za) and may be updated from time to time.

3. Clause 3 of 15KNOWLEDGE

   I agree to study and become fully knowledgeable with all the supplied Glowming marketing material.

4. Clause 4 of 15CONDUCT

   I agree to adhere to Glowming's Code of Conduct, including: no reputational harm to Glowming or its products, no misrepresentation of product benefits, and no selling of competing detox/wellness drinks while active.

5. Clause 5 of 15CHANNEL ONE — AFFILIATE LINK SALES

   I understand that the GBA is assigned a unique Glowming Affiliate Link/QR code (GAL) and earns a recurring commission of ZAR 45.00 per verified Glowming pouch (10 sachets) sold via the official Glowming SA website, including subscriptions and repeat orders. Commission payouts are processed on the 14th day of each calendar month. Returns or refunded transactions will be deducted from the following month's commission payout. The minimum monthly commission payout threshold is R200.00.

6. Clause 6 of 15CHANNEL TWO — WHOLESALE STOCK PURCHASE

   I understand that the GBA may purchase Glowming stock directly from Glowming SA at the wholesale price of R300.00.00 per pouch (VAT inclusive). The GBA is permitted to sell Glowming in-store for between ZAR 359.00.00 (Recommended Retail Price, minimum) and ZAR 395.00.00 (maximum price) per pouch, VAT inclusive. No pouch may ever be sold for less than the official RRP.

7. Clause 7 of 15CHANNEL THREE — E-COMMERCE PARTNER WEBSITE

   I understand that e-commerce partners can select between Channel One or Channel Two as a stocking model, and that the GBA is permitted to sell Glowming online for between ZAR 359.00.00 (minimum) and ZAR 395.00.00 (maximum) per pouch, VAT inclusive. E-commerce Partners are to handle first line customer service, returns, and refunds.

8. Clause 8 of 15COMPLIANCE

   I understand that the GBA may not appoint third-party agents or resellers, solicit affiliates linked to another GA or GCM, or allow sales outside approved Sales Channels. No unauthorised discounts, bundles, or price alterations are permitted without prior written approval from Glowming. No unauthorised health claims, false posts, or price undercutting.

   I have read and accept Clause 8.
9. Clause 9 of 15CONTENT REMOVAL

   I agree to immediately remove any posts or content if directed to do so by Glowming or Glowming International, and to maintain a professional appearance and hygiene during public promotions. Glowming products may only be sold at the RRP.

10. Clause 10 of 15SALES TARGET

    I understand that Glowming Business Affiliates (GBA's) must meet Glowming SA's minimum sales requirements, currently set at 20 Glowming pouches per month. New GBA's are subject to a 90-day probation period with minimum sales targets as defined at time of appointment.

11. Clause 11 of 15TERMINATION

    I understand that failure to meet sales targets may result in termination with 60 days' written notice. Breach of agreement allows 7 days to rectify, else termination with 7 days' written notice. All commissions and benefits are immediately terminated upon the conclusion or cancellation of the contract with Glowming, regardless of pending affiliate activity.

12. Clause 12 of 15INDEPENDENT CONTRACTOR

    I acknowledge that GBA's are not defined as employees in terms of Section 213 of the Labour Relations Act. The GBA is regarded as an independent contractor and is solely responsible for its own tax affairs with SARS. Glowming accepts no responsibility or liability in this regard. If required by SARS, Glowming may deduct appropriate taxes before commission payouts.

13. Clause 13 of 15CONFIDENTIALITY

    I agree not to disclose any confidential Glowming information to any third party and further agree not to operate competing products or consult rivals during the term of this agreement.

14. Clause 14 of 15POPIA

    I agree to protect customer data in line with POPIA (Protection of Personal Information Act) and provide feedback for improvement.

15. Clause 15 of 15GOVERNING LAW

    I acknowledge that this Agreement is governed by South African law and that all written notices may be sent via email.
